FIELD GUIDE / TOKENIZED STOCKS

Tokenized stocks,
beyond the ticker.

Two tokens can track the same company and give their holders very different rights. Learn to read the structure, follow the assets, and ask what the token actually represents.

5 steps · Explore in any order · Reviewed

A share certificate, an onchain token and the relationship between them. A RECORD OF RIGHTSThe underlyingmatters.
Learn to read what sits behind a stock token.Understand the claim.Compare the rights.Ask better questions.

01 / THE STARTING POINT

Follow the legal claim.

Tokenization changes how an instrument is recorded or transferred. It does not make every instrument the same.

A tokenized stock product links an onchain token to company equity or to its economic performance. That connection might be the share itself, a beneficial interest, a separate security, a brokerage entitlement or a derivative.

The US Securities and Exchange Commission’s staff distinguishes issuer-sponsored tokenization from third-party tokenization, including custodial and synthetic arrangements. This is a useful starting point for understanding the relationship; the applicable law and product documents determine the actual rights.

Read the SEC staff statement on tokenized securities ↗. A staff statement is not itself a rule or a universal legal classification.

01

Issuer-sponsored

A share recorded onchain

The company issuing the equity, or its authorized transfer agent, uses a blockchain within its shareholder-record system. The token’s role in the official record is the key question.

02

Third-party / backed

A claim connected to held shares

An intermediary holds shares or arranges backing, and a separate instrument gives you defined rights. Custody, legal separation and your claim against that intermediary matter.

03

Synthetic / derivative

A contract linked to stock value

A contract delivers exposure to a reference stock. Its payoff, collateral and counterparty arrangements determine the economics; it does not itself make you a shareholder.

02 / LOOK UNDER THE HOOD

Three families.
Six structures to recognize.

Explore how the connection to a share can be built. These models can overlap; read the actual product documents.

01

The equity itself

Issuer-registered share

An issuer-authorized token participates in the official ownership or transfer record for the company’s shares.

Rights, relationships & questions
  1. Company / transfer agent
  2. Registered share record
  3. Eligible holder
What the holder has
Shareholder rights follow the share class, corporate documents and applicable law. The transfer agent and authoritative register still matter.
Ask before going further
Is the blockchain record authoritative, or a representation reconciled to another register? How are transfers recognized and errors corrected?

Product-specific example: Opening Bell overview ↗. Its own terms govern.

02

A security linked to shares

Secured debt or note

A separate issuer sells a note or debt security whose value is linked to an underlying stock. Shares or other specified assets may secure its obligations.

Rights, relationships & questions
  1. Underlying shares / collateral
  2. Note issuer + security terms
  3. Note holder
What the holder has
You hold the note, with the contractual and security rights its documents grant. You do not automatically hold the underlying company’s equity.
Ask before going further
Who owns the collateral, who can enforce the security, and where do holders rank if the issuer or custodian fails?

Product-specific example: xStocks legal overview ↗. Its own terms govern.

03

Rights through a trust

Trust certificate or beneficial interest

A trust or similar arrangement holds the underlying shares. A token represents the interest defined by the trust or certificate documents.

Rights, relationships & questions
  1. Shares held in trust
  2. Trust / certificate terms
  3. Beneficial-interest holder
What the holder has
Beneficial ownership and legal title can sit with different parties. Distribution, redemption and voting rights depend on the arrangement and recognized holder status.
Ask before going further
What property belongs to the trust, who is the trustee, and can the holder enforce a claim independently of the platform? Check any distinction between vested and unvested holders.

Product-specific example: Coinbase TSLAc prospectus (ADGM) ↗. Its own terms govern.

04

A defined claim on an issuer

Contractual claim with redemption

A token gives its holder a contractual claim on an intermediary, sometimes with a put or redemption mechanism linked to stock value or held assets.

Rights, relationships & questions
  1. Backing arrangements
  2. Issuer contract + redemption
  3. Token holder
What the holder has
The terms define what you can demand, from whom, and in what form. A redemption promise is different from direct ownership of the referenced share.
Ask before going further
Who can redeem directly? Is settlement cash or shares? What notice, minimums, fees and suspension clauses apply?

Product-specific example: Dinari non-US dShares terms, sections 4.1 and 6.8 ↗. Its own terms govern.

05

A position held through a broker

Brokerage security entitlement

A broker carries a stock position in a customer account. A token can be an additional representation of the position, while the broker’s account records govern the entitlement.

Rights, relationships & questions
  1. Shares at broker / custodian
  2. Customer account records
  3. Tokenized account representation
What the holder has
Your relationship is with the regulated intermediary and its account framework. Moving a token is not necessarily the same as transferring the underlying account position.
Ask before going further
Which record prevails? Must the holder maintain a brokerage account? What investor-protection and transfer rules actually apply?

Product-specific example: Dinari US brokerage disclosures ↗. Its own terms govern.

06

Exposure through a contract

OTC derivative

A bilateral contract tracks a share’s value. The provider may hedge or hold assets, but those assets do not automatically become the token holder’s property.

Rights, relationships & questions
  1. Reference stock price
  2. Derivative contract / counterparty
  3. Contract holder
What the holder has
The holder has a derivative claim on the counterparty. Payoff, costs and termination conditions come from the contract.
Ask before going further
Who owes the payoff? What collateral exists, how is it valued, and what happens when the counterparty cannot perform?

Product-specific example: Robinhood Europe Stock Tokens KID ↗. Its own terms govern.

THE MODELS IN PRACTICE

One market.
Many different instruments.

Explore 18 product and product-family examples. A company name does not determine a token’s structure: the exact product and jurisdiction do.

Robinhood Stock Tokens — JerseySecured debt security

Robinhood Assets (Jersey) issues securities whose economic return follows the selected underlying asset. The token is an issuer obligation, not ownership of the referenced company's shares.

What to read carefully

Collateral, dividends, lending and redemption provisions depend on the base prospectus and final terms. This is a separate product from Robinhood Europe's Classic Stock Tokens.

Issuer website and June 2026 base prospectus checked. An October notice describes proposed amendments; proposals are not treated as effective terms.

xStocksCollateral-backed tracker certificate

Backed Assets (JE) describes xStocks as bearer debt tracker certificates backed by the corresponding securities. They provide economic exposure without making the token holder a shareholder of the underlying company.

What to read carefully

Voting is not an underlying shareholder right of the certificate holder. Redemption routes, participant eligibility, corporate-action adjustments and any securities-lending permissions must be checked for the particular instrument.

Current issuer legal overview and document library checked; no universal promise of cash-only redemption or a prohibition on lending is made.

Ondo Stocks / Ondo Global MarketsStructured note

Ondo describes its tokenized stocks as structured notes issued by Ondo Global Markets (BVI), backed by the corresponding securities and cash in transit. Total-return exposure incorporates corporate actions and reinvested dividends after applicable deductions.

What to read carefully

Holding a token does not itself satisfy primary-market onboarding or geographic eligibility. Redemption and minting have operating windows and can be suspended; a token is not direct ownership of the referenced share.

Current issuer legal, product and redemption descriptions checked. Bankruptcy-remoteness and backing are issuer-described design features, not guarantees.

Binance bStocksTrust-backed certificate

BTECH Holdings issues certificates over shares held through a custody and trust arrangement. The disclosed structure provides a certificate interest rather than direct registered ownership of the referenced company's stock; dividends are reflected through reinvestment adjustments.

What to read carefully

Underlying-share redemption runs through the platform and an eligible brokerage subaccount. Wallet possession alone does not ensure recognized holder status or successful compliance checks, and the certificates do not carry the underlying voting rights.

June 11, 2026 ADGM-filed prospectus and issuer FAQ checked.

Coinbase Tokenized StocksRegistered trust certificate

The Coinbase Onchain SPV prospectus uses a bare-trust arrangement. Recognized vested certificate holders have beneficial interests in the underlying portfolio; the legal register determines the recognized interests.

What to read carefully

Vested and unvested certificates have different rights. Redemption, voting and primary-market access have conditions, and the current product page restricts primary minting and redemption to eligible institutional or authorized participants.

September 3, 2026 ADGM prospectus and current product page checked. Do not portray every wallet holder as immediately entitled to exercise every trust right.

Backpack Tokenized SecuritiesTrust receipt with an intermediary layer

Backpack distinguishes brokerage security entitlements from Solana tokens issued through Trek Nexus Markets. The issuer terms use a bare-trust receipt arrangement, with conversion back to the supported brokerage holding as the normal redemption route.

What to read carefully

The issuer normally recognizes Trek Forge or its nominee as the sole beneficiary while Backpack supports the tokens. A retail token holder's direct-redemption route is a defined contingency, not an unconditional direct trust claim exercisable at any time.

Backpack support materials and issuer terms effective June 10, 2026 checked. Brokerage form and onchain form must not be conflated.

Dinari dShares — non-US productContractual redemption / put claim

The non-US dShares terms provide a contractual claim against Dinari, including a contractual put mechanism. They do not transfer title to the underlying stock or make the dShare holder its shareholder.

What to read carefully

Do not apply this description to Dinari's US brokerage offering: its current US disclosure describes shares held in a brokerage account and a dShare as a secondary record, with official brokerage books controlling.

Non-US terms revised December 26, 2025 and current US disclosures checked.

Robinhood Europe Classic Stock TokensOTC derivative

Robinhood Europe's Classic product is an over-the-counter derivative providing price exposure to an underlying share or ETF. It does not give ownership of that underlying security.

What to read carefully

The disclosed Classic product does not provide underlying shareholder voting or in-kind share redemption. Its current support page also distinguishes it from externally transferable Jersey-issued Stock Tokens.

August 2025 key information document and current European support page checked.

Securitize StocksBroker-held security entitlement

Securitize Markets describes this product as tokenized UCC Article 8 security entitlements backed by shares held through its brokerage structure. The entitlement is distinct from being directly registered on the underlying company's shareholder register.

What to read carefully

The disclosed model supports economic and applicable voting rights through the intermediary. Conversion into issuer-sponsored shares is conditional on issuer adoption and eligibility; it is not already available for every stock.

October 8, 2026 issuer launch announcement and investment page checked. A listed company is not necessarily a sponsor of or endorsing this separate entitlement product.

Securitize issuer-sponsored sharesIssuer-registered share

Issuer-sponsored tokenized shares, including Securitize's own disclosed onchain common stock, represent a company's actual share class through its authorized transfer-agent and shareholder-record system.

What to read carefully

The company's share-class rights and the transfer agent's governing records control. This issuer-sponsored model is separate from Securitize Stocks' third-party security entitlements; token delivery alone does not override transfer restrictions or official records.

Issuer announcement and SEC-filed transfer-agent description checked. This row describes the issuer-sponsored model, not a claim that all stocks on the platform use it.

Superstate Opening BellIssuer-registered share

Opening Bell supports issuer-authorized tokenized equity with transfer-agent records and approved wallets. The tokenized holding represents the relevant company's share class rather than a separate price-tracking debt instrument.

What to read carefully

Burning or detokenizing the token returns book-entry shares; it does not produce a cash payment. Selling for cash requires an available trading venue or transfer into a brokerage route, subject to eligibility and restrictions.

Current Opening Bell product page and tokenized-equities investor documentation checked.

Anchored FinanceStock-backed token; legal wrapper requires product documents

Anchored publicly describes tokens backed by underlying stocks and publishes reserve-transparency information. Its website terms state that the tokens are not themselves the underlying shares or fund interests.

What to read carefully

The public website directs investors to separate product documents for binding rights. The current publicly accessible pages reviewed did not establish the precise legal wrapper, direct redemption rights or insolvency priority, so these remain unconfirmed here.

Current issuer website terms and transparency documentation checked. Do not label this a verified trust certificate based only on a third-party classification.

Reality rTokensTokenized debt instrument

Reality's current terms describe rTokens as debt instruments issued by the token issuer, rather than shares, fund units or direct ownership of the underlying asset.

What to read carefully

The terms exclude underlying shareholder, voting and dividend rights unless expressly granted in writing. Any redemption obligation and payout method must be read in the relevant token terms; an asset-linked price does not itself establish a proprietary claim to backing assets.

Issuer terms updated October 28, 2026 checked directly from its PDF. Do not infer extra rights from the term 'tokenized stock'.

NexBridge DA SeriesUnsecured contractual issuer obligation

The DA Series information document describes token-holder claims as unsecured contractual obligations of NexBridge. Tokens provide the specified economic exposure and redemption mechanics rather than beneficial ownership of the portfolio assets.

What to read carefully

Operational segregation and separate records do not create an in-rem security interest or a bankruptcy-remote legal structure under the document's stated terms. Instrument-specific distributions and redemption rules still need to be checked.

April 2026 Relevant Information Document, section 16, and issuer legal-framework page checked.

WisdomTree Digital FundsRegistered fund share

WisdomTree Digital Trust issues fund shares with blockchain-integrated records. An investor owns a share of the selected fund, not a directly registered share in each underlying portfolio company.

What to read carefully

The transfer agent's book-entry records are the official ownership record and prevail in a conflict with blockchain records. Subscription, redemption, distributions and voting follow the particular fund's prospectus and account arrangements.

Current issuer fund page and August 12, 2026 SEC-filed prospectus materials checked.

Anemoy SPXATokenized professional-fund share

SPXA represents shares in the Janus Henderson Anemoy S&P 500 Fund segregated portfolio of Anemoy Capital SPC. It gives exposure through a fund structure rather than direct ownership of every portfolio stock.

What to read carefully

This is a non-US professional-investor fund with eligibility requirements and dealing cutoffs. The published Proof-of-Index data is not a substitute for the offering documents, a guarantee of reserves or a direct right to vote underlying company shares.

Issuer fund page and issuer-linked factsheet with September 30, 2026 data checked. The public factsheet does not establish every distribution or insolvency detail.

ST0x / S01Unsecured share-delivery claim

ST0x describes a tStock as an unsecured claim against S01 Issuer for delivery of the corresponding share. A wtStock is a wrapped form whose conversion relationship adjusts for reinvested dividends.

What to read carefully

Direct share redemption is for onboarded authorized participants with eligible brokerage accounts. Current documentation says tStock cash-dividend claiming is not yet live, and issuer controls can restrict token transfers.

Current ST0x FAQ checked; it links the S01 programme prospectus for governing terms. tStock and wtStock should not be presented as identical distribution mechanisms.

STOKR / ORO (II)Equity-linked note

The STOKR CMSTR product page describes an equity-linked note issued by ORO (II), a Luxembourg securitization vehicle. STOKR is the platform; the note issuer and the referenced stock's company are separate parties.

What to read carefully

An equity-linked note is not the underlying stock. Investor eligibility, compartment recourse, redemption options and payouts depend on the relevant offering and supplemental documents; the public product page alone does not establish every right.

Current issuer/platform product page and public terms checked. Some detailed and updated offering documents require investor access; avoid unqualified claims about cash-only redemption or dividend pass-through.

Documents checked . These summaries describe what the cited parties disclose; they do not independently verify reserves, solvency or enforceability. Document dates are not launch dates. Product-specific terms and eligibility can change.

04 / FOLLOW THE ASSET

From issuance to exit.

Trading a token and redeeming it are different paths. Check who can use each one.

  1. 01

    Qualify and fund

An issuer or distributor may check identity, jurisdiction and investor eligibility. Funding currencies and permitted wallets depend on the product.

  2. 02

    Create the position

Shares may be issued, bought or placed with a custodian; a derivative may be established instead. Minting should be understood alongside that offchain step.

  3. 03

    Hold or trade

Tokens move under the product’s transfer rules. Exchange liquidity, peer-to-peer transfers and permission to use DeFi are separate questions.

  4. 04

    Handle company events

Dividends, splits, mergers and delistings need a defined treatment. Cash distributions, reinvestment and price adjustments can produce different outcomes.

  5. 05

    Sell or redeem

You may sell to another buyer or, if eligible, redeem through an authorized party. A liquid secondary market does not guarantee a direct redemption right.

Three clocks can be running.

The blockchain, the underlying stock market, and banking or redemption operations may keep different hours. Around-the-clock token transfers do not guarantee around-the-clock stock liquidity, pricing or settlement.

04 / THE DETAILS THAT MATTER

Read the rights.
Map the risks.

The symbol, network and reserve figure are only part of the picture.

OWNERSHIP & CONTROL

Backing is not the whole answer.

Identify the issuer, broker, custodian, trustee or collateral agent. Check who owns the shares, who owes the holder an obligation, and what happens if any one of those parties fails.

A reserve attestation can address specific holdings at a point in time. It does not, by itself, prove your legal title, continuous solvency or access to those assets. A smart-contract audit examines code within a stated scope; it does not verify legal ownership or custody.

DIVIDENDS & CORPORATE ACTIONS

Economic exposure has details.

A product may distribute cash, reinvest net dividends, adjust a token’s value or change the number of units. Tax withholding, fees and rounding can affect what reaches the holder.

Look separately for treatment of splits, voting, rights issues, spin-offs, mergers and delistings. Tracking the stock price does not establish a vote in the company.

ACCESS & EXIT

Know the path back out.

Availability depends on the investor, country, distributor and product. Holding a transferable token does not necessarily make a person eligible to buy directly or redeem.

Check minimum size, identity checks, settlement currency, fees, processing windows and the circumstances in which redemption can pause.

MARKETS & TECHNOLOGY

More rails, more dependencies.

Thin markets, stale prices and market closures can cause a token’s trading price to differ from its reference value. Smart contracts, admin keys, permissions to freeze or recover tokens, oracles and bridges introduce additional dependencies.

Self-custody concerns control of the token’s keys. It does not remove the legal, custody or counterparty arrangements behind the instrument.

GLOSSARY / KEEP THE LANGUAGE CLEAR

The useful terms.

A working vocabulary for reading stock-token documents.

Legal title

The legally recognized ownership of an asset. It can sit with an issuer, trustee, custodian or nominee rather than the token holder.

Beneficial interest

A right to enjoy specified benefits of property held by another party. Its scope comes from the applicable legal arrangement.

Security entitlement

Rights against a securities intermediary in relation to a financial asset credited to an account. The account framework matters.

Collateral

Assets supporting an obligation. A useful next question is who can enforce the security and with what priority.

Ring-fencing

Arrangements intended to separate assets or obligations from other business risks. The label alone does not establish protection in insolvency.

Mint / burn

Creating or destroying tokens. Neither action, by itself, proves that an offchain asset was purchased, delivered or redeemed.

Primary / secondary market

The primary market is issuance or redemption with an authorized party; the secondary market is trading an existing instrument. Access can differ.

In-kind redemption

Receiving the underlying asset rather than cash when redeeming. Eligibility, supported brokers and transfer restrictions can limit it.

Corporate action

An event such as a dividend, stock split, merger or rights offering that can change a share’s economics or entitlements.

NAV / reference price

A calculated asset value or observed market price used by a product. It may differ from the price at which you can trade.

Transfer agent

A party maintaining an issuer’s securityholder records and supporting transfers and other ownership-related processes.

Oracle

A mechanism for bringing external observations, such as stock prices, into onchain applications. Its availability and methodology affect dependent contracts.
